Chapter I General Provisions

MBA SCHOOL OF ZHEJIANG GONGSHANG UNIVERSITY ALUMNI ASSOCIATION

 

Article 1: The name of this association is MBA School of Zhejiang Gongshang University Alumni Association and translated in English as MBA School of Zhejiang Gongshang University Alumni Association

 

Article 2: The association is a mass organization voluntarily established by alumni of Zhejiang Gongshang University MBA School

 

Article 3: The principle of the Association is: to be guided by Marxist-Leninism, Mao Zedong’s Thoughts, Deng Xiaoping’s Theory, “Three Represents” and the Scientific Development Concept, to abide by China’s Constitution, laws, regulations and the State’s policies, to comply the social morality, to enhance close ties between the MBA School and the alumni, to improve friendship and cooperation between the alumni, to  promote exchanges in terms of education, scientific technology and culture, to encourage alumni to explore, innovate and to set an example, to work together for prosperity and development of the MBA School, to push forward communicative cooperation between the MBA School and the local regions and to make contribution to affluence and progress of China.

Chapter II Scope

 

Article 4: Carry out scientific & technological collaboration, cultural exchanges and fellowship galas of alumni across China;

 

Article 5: Enhance connection with the alumni associations across China to carry out academic and work experience exchange;

 

Article 6: Assist the mother school and the MBA School to collect and make up materials about the school’s history, edit and publish the “Communication of Alumni”

 

Article 7: Hold various activities and events benefiting the nation, the society, the mother school, the MBA School and the alumni.

 

Chapter III Members

 

Article 8: Conditions to Become a Member

To support this Association’s Constitution

With will to join the Association

Alumni of Zhejiang Gongshang University MBA School

The people meeting one of the conditions below would be defined as alumni of Zhejiang Gongshang University MBA School

Various graduates, study completers, trainees of various professional certificates, mentoring courses and training classes;

Part-time professors, honorary professors, part-time staff and teaching staff who is or used to work at the institution.

 

Article 9: Procedures of Becoming a Member

Through contact with the MBA School Alumni Association and the regional alumni organizations and agreeing to accept this constitution, the alumni of Zhejiang Gongshang University MBA School will become a member of the Association.

 

Article 10: Rights and Obligations of Members

All members have the rights to elect, to be elected and to vote.

Participate in the voting activities of MBA School Alumni Association’s organizations;

Participate in various activities organized by the MBA School Alumni Association;

Contribute advice or suggestions on work of this Association and the MBA School;

(4) Abide by the constitution, support activities of the MBA School Alumni Association, promote development of the regional economy and the MBA School and enhance academic and cultural exchanges;

(5) Actively provide all kinds of information and relevant materials for the MBA School Alumni Association and solicit contribution to the “Communication of Alumni”;

(6) Integrate resources of all sides to provide bounded obligations for development of the MBA School and the alumni.

 

Article 11 Members of the Association enter and quit voluntarily.

 

Article 12 The non-members of this Association can be granted honorary member qualification after being approved by the Association’s Council of Directors if the person used to make great contribution to construction and development of Zhejiang Gongshang University MBA School.

Chapter IV Organizational Structure

 

Article 13: The supreme authority of this Association is General Representative Assembly of Members and the Council of Directors created based on it. The General Representative Assembly of Members should be held while being attended by more than half of the members (or members’ representatives) and the resolution should take effect only after being passed by more than half of the members (or members’ representatives)

 

Article 14 The General Representative Assembly of Members is held every two years. The advanced or postponed election for transition of the assembly for special reasons should be passed by the Council of Directors by voting. The maximum term of the postponed transition should not be longer than 1 year. It is convened by the Council of Directors. The functions and powers of the General Representative Assembly of Members include:

1Hearing and reviewing work reports of the Council of Directors;

(2) Discussing and making decisions on major issues of the MBA School Alumni Association;

(3) Amending the constitution of the MBA School Alumni Association;

(4) Electing directors for the Council.

 

Article 15: MBA School Alumni Association’s Council of Directors is executive organization of the General Representative Assembly of Members with term of 2 years which can be re-elected. The Council of Directors is held once or twice each year. The candidates to the members composed of the Council of Directors are nominated or recommended by the alumni offices of the MBA School and the regional alumni associations and voted by the General Representative Assembly of Members. There are one president, several vice presidents, one secretariat and several vice secretariats at the Council of Directors recommended by the Council. This association hires several honorary presidents and consultants to guide work of the association with the following functions and powers:

 

(1) During close-up periods of the General Representative Assembly of Members, the Council of Directors executes resolutions of the General Representative Assembly of Members;

(2) The external representative sub-councils of the Council of Directors discuss and decide work principles, plans and major issues of the sub-councils and confirm candidates of the next council of directors;

(3) Vote to appoint and dismiss the president, vice presidents and secretariat;

(4)A Secretariat Office is set up at the MBA School’s Council of Directors with responsibility for daily work of the Council.

(5)  The organizations of the MBA School’s alumni associations across China (including preparatory organizations, contact organizations, fraternities, classmates’ union and so on) are entities established by the alumni off Zhejiang Gongshang University MBA School responsible for the regional alumni. The subsidiaries of the MBA School establish close contact with the regional alumni organizations providing essential guidance and help when it is necessary.

The articles above should be passed with the approval of more than half of the directors.

 

Article 16: The president, vice presidents and secretariat should meet the requirements as follows:

Adhere to the Communist Party’s basic lines, principles and policies with high quality in politics;

Influential among the alumni;

Good in physical health and able to adhere to the work stipulated by this Constitution;

 

Article 17: The president of this association or executive vice president is legal representative of the association.

 

Article 18 The president of this association exercises the following powers and functions:

Convening and presiding the Council of Directors;

Inspecting implementation of the resolutions passed at the General Representative Assembly of Members and the Council of Directors;

Signing relevant important documents and agreements on behalf of the association.

 

Article 19: The secretariat of this association exercises the following powers and functions:

Presiding the daily work of the executive organization and organizing execution of the annual work plans;

Nominating vice secretariats and main responsible persons of the executing organization and submitting it to the Council of Directors for decision-making.

Operating other daily affairs.

 

Article 20: The organized entities of the industrial branches or sub-branches under the MBA School Alumni Association should be set according to structure of the School Alumni Association and be under leadership of the MBA School Alumni Association.

Chapter V: Expenses

 

Article 21: The sources of this association’s expenses:

Membership dues, donation of individual directors and units of the directors;

Funding Assistance from the mother school, MBA School or regional alumni associations;

Donations of alumni or other friendly individuals;

Income incurred from the association’s paid services 

 

Article 22: This association collects membership dues according to the state’s relevant stipulation.

 

Article 23: The expenses would only be used in the scope and career development stipulated in the association’s constitution.

 

Article 24: This association has established a strict financial management system making sure legality, authenticity, accuracy and complete of the accounting materials.

 

Article 25: This association has full-time or part-time professionally qualified accountants in charge of the financial affairs, tightening regulations and complying with relevant stipulation of the state.

 

Article 26: This Association manages the expenses strictly according to the state’s stipulation and financial management system, accept supervision of the General Representative Assembly of Members and the financial departments. It is under supervision of the auditing authorities and publicizes the account sheets to members annually.

 

Article 27: Before power transition of the association and changes of legal representative, the financial auditing of the MBA School and other alumni offices should be voluntarily received.

 

Article 28: The expenses of this association should not be privately owned, distributed and used by any units and individuals.

 

Article 29: The salaries, insurances and welfare treatments of the full-time workers of this association are executed according to the MBA School’s relevant stipulations.

Chapter VI Amendment Procedures

 

Article 30: Amendment of the constitution should be voted to pass by the Council of Directors and submitted to the General Representative Assembly of Members for review.

 

Article 31: The constitution amended by the association is passed by the General Representative Assembly of Members in principle and should be submitted to Zhejiang Gongshang University Alumni Association for review within 15 days. It will take effect after being approved. Given the failure to be discussed at the General Representative Assembly of Members for special reasons, it could be submitted after being passed by the Council of Directors and should soon be announced at the General Representative Assembly of Members.

Chapter VII Annex

 

Article 32: This constitution will be submitted to the first General Representative Assembly of Members of the Alumni Association for discussion and approval.

 

Article 33: After all conditions get matured, this association should soon be registered at the relevant regulatory departments and establish and consolidate the regulations and systems.

 

Article 34 The right to amend the Constitution belongs to the General Representative Assembly of Members.

 

Article 35 The explanation right of the Constitution belongs to the Council of Directors.

 

Article 36 The trial period of this Constitution is half of a year.
